About the Role
Your responsibilities Contract drafting and negotiation: Drafting, reviewing, and negotiating sales, reseller, distribution, OEM/white-label, revenue-share, and affiliate agreements in an international environment. Negotiating U.S. contract frameworks under common law principles: Representations and warranties, indemnification, limitation of liability, governing law, and dispute resolution. Contract controlling: Deadlines, exclusivities, change-of-control clauses, termination rights. Technical sales support: Acting as a sparring partner for the CCO and sales team during ongoing negotiations, including participation in partner meetings. Assessing commercial models for legal risks (commissions, revenue share, minimum purchase quantities, territorial protection). Training the sales team so that standard questions do not even reach you. Regulatory and antitrust interfaces: Antitrust evaluation of sales structures (Vertical Block Exemption Regulation: territorial and customer restrictions, resale price maintenance, exclusivities). Legally compliant structuring of commission and affiliate models for laboratories, depots, and trading partners, in particular Section 299 of the German Criminal Code (StGB) and labeling requirements.
