M&A Counsel

Join Our Team as a M&A Counsel at Axiom Location: Remote We are seeking an experienced M&A Counsel to join our team, supporting a leading mining client. In this role, you will provide practical, hands-on legal support across mining transactions, commercial agreements, M&A, and securities matters. You will work closely with legal and business stakeholders in a lean environment, independently managing matters and helping keep transactions and strategic initiatives moving forward. Responsibilities: Draft, review, and negotiate mining-related commercial agreements, including joint ventures, royalty agreements such as net smelter return (NSR) arrangements, and offtake agreements for concentrate and doré products. Support small-scale M&A transactions, including due diligence, drafting, negotiation, and other North American M&A activity. Provide legal support on corporate and securities matters. Work closely with legal and business stakeholders to understand business priorities and provide practical legal guidance. Independently manage matters and transactions with minimal supervision in a lean legal environment. Qualifications: Meaningful in-house legal experience with a mining company. Hands-on experience with mining transactions and commercial arrangements. Experience supporting corporate, commercial, M&A, joint venture, royalty, or offtake matters.
