Counsel - Vendor

Overview The Counsel, Vendor will support the Director, Senior Counsel in overseeing the full life cycle of Cotiviti ’s healthcare and non-healthcare vendor contracts, from initial negotiation through execution, ongoing management, renewal, and termination. This role is responsible for reviewing, drafting, and negotiating a broad range of commercial agreements, including master services agreements, software license and SaaS agreements, business associate and data processing agreements, non-disclosure agreements, and other related commercial agreements. The ideal candidate has significant experience negotiating commercial agreements, particularly SaaS, software licensing, professional services, and platform agreements. They are comfortable working independently in a fast-paced environment and advising internal stakeholders on contract risk in plain, practical terms. A strong working knowledge of healthcare-related agreements, including business associate agreements, data privacy laws such as HIPAA, CCPA/CPRA, and GDPR, AI-related contract terms, and technology deployment models is preferred.
